About Our Client

Our client is a state-owned enterprise, and they are looking for a Senior Manager - Legal & Risk is responsible for overseeing the organisation's legal, compliance, risk management and internal audit functions. The role ensures strong corporate governance, regulatory compliance, and effective risk mitigation, while working closely with management to support strategic and operational objectives.

Job Description

• Provide strategic legal advice to management on corporate, commercial, employment, regulatory and governance matters.
• Oversee drafting, review and negotiation of contracts, agreements and legal documentation.
• Manage external legal counsel and ensure cost-effective and timely legal support.
• Monitor changes in laws and regulations and assess implications for the organisation.
• Design, implement and maintain an effective compliance framework aligned with SOE and regulatory requirements.
• Ensure compliance with applicable laws, regulations, government guidelines and internal policies.
• Support board and committee matters, including governance policies, codes of conduct and disclosures.
• Conduct compliance reviews and investigations, recommending corrective actions as needed
• Work with business units to implement risk mitigation strategies and controls.
• Oversee the internal audit function, including annual audit planning and execution.
• Review audit findings, track remediation actions and ensure timely closure of issues.
• Liaise with external auditors and regulators as required.
• Promote a strong internal control and risk-aware culture across the organisation.
• Act as a trusted advisor to senior management on legal, compliance and risk matters.
• Coordinate with regulators, government bodies and external stakeholders when required.

The Successful Applicant

• Bachelor's degree in Law, Accounting, Risk Management or a related discipline.
• Fluent in Chinese and English
• Minimum 8 years of relevant experience in legal, compliance, risk management roles
• Prior experience within an SOE, public sector, regulated industry or large corporate is highly desirable.
• Proven experience in managing multiple governance-related functions.
• Experience interacting with senior executives, boards, and regulators.
